"Owner Trust Estate" shall mean all right, title and interest of the Trust in, to and under the property and rights assigned to the Trust pursuant to Article II of the Sale and Servicing Agreement. "Owner Trustee" shall mean Wilmington Trust Company, a Delaware banking corporation, not in its individual capacity but solely as owner trustee under this Agreement, and any successor Owner Trustee hereunder. "Paying Agent" shall mean any paying agent or co-paying agent appointed pursuant to Section 3.9 and shall initially be Wilmington Trust Company. "Prepayment Date" shall mean the Payment Date specified by the Servicer pursuant to Section 9.3(a). "Prepayment Price" means an amount equal to the Certificate Balance. "Qualified Institutional Buyer" has the meaning specified in Rule 144A.
