Capitalized terms used but not defined in this Perfection Certificate (this “Certificate”) have the meanings assigned to such terms in the Credit Agreements. As used herein, the term “Companies” means, collectively, the Borrower and the Guarantors under the Credit Agreements, and the term “Company” refers to each such entity, individually. The undersigned hereby certify to the Agents that the following information is true and correct as of the date hereof:
