Mixed Use Assets definition

Mixed Use Assets assets which are used by either or both Companies as their business is conducted on the date hereof but which are not used exclusively by them (and which are also used by other business units or operations of Seller and/or one or more other Affiliates of Seller (i.e., Affiliates other than the Companies)), but excluding assets that will be provided or used by Seller to provide the services to be provided by Seller pursuant to the Transition Services Agreement).
Mixed Use Assets the assets which are used by ADP in the Transferred Business as conducted on the date hereof which are not used exclusively in the Transferred Business.
Mixed Use Assets means those assets owned by Seller which (i) are utilized both in connection with the ownership, operation or servicing of the Acquired Assets and in connection with the other business activities of Seller, and (ii) are or will be made available to Buyer on the terms and subject to the conditions set forth in the Transition Services Agreement, such as e-mail, voicemail services, phone systems, etc.
