MIWD means the Borrower’s Ministry of Irrigation and Water Development;

MIWD or "Defendant" means Defondant Ml Windows and Doors, LLC, f/k/a Ml Windows and Doors, Inc. ("MIWD"), and any of its present, and future parent companies, subsidiaries, affiliates, divisions, predecessors, successors, heirs, assigns, together with present, and future officers, directors, board members, stockholders, shareholders, agents, servants, employees, attorneys, consultants, or legal representatives of the foregoing entities or persons, or any vendor, distributor, dealer, or other person or entity who markets or sells MIWD's Product, or repairs MIWD's Product on MIWD's behalf. MIWD or Defendant does not include contractors or subcontractors to the extent they installed the MIWD Product.

• The Recipient shall ensure that competent staff are designated to work on Parts A.1 (a) (i), (c) and (d), A.2, A.3 and A.4 of the Project in the Project Focus Districts, and shall cause the said Districts to liaise as necessary with MIWD and the Program Task Force.

• Any obligation of MIWD is contingent upon proper notice by individual owner covered by the glass breakage warranty and an opportunity for MIWD to perform.

• In the event the Indemnified Party shall choose to assert a claim for Loss or potential Loss by reason of other than a Third Party Claim, the Indemnified Party shall notify the Indemnifying Party in writing of such claim and the reasons therefor, which reasons shall be set forth in reasonable detail.
