Misstatement or Omission definition

Misstatement or Omission means any untrue statement of a material fact contained in any registration statement, prospectus, offering circular or other document, whether preliminary or final, or any amendment or supplement thereto, incident to any registration of the Company’s securities, qualification or compliance, or based on any omission to state therein, a material fact required to be stated therein or necessary to make the statements therein in light of the circumstances in which they are made, not misleading.
Misstatement or Omission. To Seller's Knowledge, no representation or warranty by Seller in this Agreement and no exhibit, schedule, certificate or other instrument prepared by or on behalf of Seller in connection with the Contemplated Transactions contains or will contain any untrue statement of a material fact, or omits or will omit to state any material facts which are necessary to make the statements contained herein or therein not misleading.
