MIPS ISA definition

MIPS ISA means the instruction set architectures for MIPS Processor Components first developed by, for or with substantial participation by MIPS including without limitation the MIPS I, MIPS II, MIPS III, MIPS IV, MIPS V and successor instruction set architectures.
MIPS ISA means any processor instruction set architecture ("ISA") and associated privileged resource architecture first developed by or for MIPS or its predecessor entities. 1.10 "MIPS Technology" means MIPS ISAs, MIPS application specific extensions ("ASEs"), MIPS Cores, MIPS Deliverables, any other MIPS Confidential Information, and any Intellectual Property Rights associated with the foregoing. 1.11 "Net Revenue" means the gross revenue from the sale of each Licensee Chip accounted for in accordance with generally accepted accounting principles, and after deduction for discounts, returns, freight, insurance, taxes, and duties, if any, which are separately identified on the invoice. Such gross revenue shall include the fair market value of all non-monetary consideration such as services or technology licenses received by Licensee, and shall be no less than the amount which would be negotiated for such gross revenue in an arm's-length transaction.

  • The parties further acknowledge and agree that the foregoing covenant will not apply to licensees of MIPS Cores, MIPS ISAs or other MIPS Technology or products if such licensees have not signed a covenant which extends to Licensee and which is substantially similar to MIPS' then-current standard covenant for the MIPS Core, MIPS ISA or other MIPS Technology or products licensed by such licensee.

  • EXHIBIT E MIPS MICROPROCESSOR KNOW-HOW Certain know-how related to the MIPS ISA and MIPS architecture currently owned by SGI which will be assigned to MIPS hereunder.

  • Upon the SGI Group's request, MIPS shall license ------------------ to the SGI Group under terms as favorable as those offered to any other MIPS customer, partner or licensee (including payment of royalties, if any) for similar scope of license, any MIPS Improvements to SGI Technology, MIPS ISA Improvements or other MIPS technology or designs it makes available to its customers or third parties, not already licensed hereunder.

  • MIPS agrees that any Trademarks used in the future ----------------- by MIPS or its licensees under license from MIPS in connection with the MIPS ISA, products that implement a MIPS ISA or products that are capable of operating in conjunction with a MIPS processor, shall be automatically included in the definition of Licensed Marks.

  • MIPS shall deliver all MIPS ISA Improvements to SGI when MIPS makes such MIPS ISA Improvements generally available to MIPS customers and licensees, and shall deliver any MIPS Improvements to SGI Technology and any MIPS ISA Improvements upon SGI's reasonable written request provided that SGI may request MIPS Improvements to SGI Technology and the MIPS ISA Improvements no more than once in any six (6) month period.

  • Certain know-how related to the MIPS ISA and MIPS architecture which are licensed to MIPS hereunder.
