Minimum TNW Amount definition

Minimum TNW Amount means, initially, the Initial Minimum TNW Amount; provided, however, that Bank shall have the right to increase or decrease this Initial Minimum TNW Amount as determined by Bank based upon the post-▇▇▇▇▇ Acquisition consolidated balance sheet of Borrower that Borrower is required to promptly deliver to Bank; provided further, however, that the Minimum TNW Amount shall be increased annually, as of the end of each fiscal year of Borrower, by an amount equal to fifty percent (50%) of Borrower’s consolidated positive net income in accordance with GAAP.
Minimum TNW Amount means the amount determined by Administrative Agent based upon its review of the consolidated balance sheet of Borrowers for December, 2012 delivered pursuant to Section 6.1.2, as set forth in a notice from Administrative Agent to the Borrower Representative.

Examples of Minimum TNW Amount in a sentence

  • The Minimum TNW Amount, as adjusted in accordance with the preceding sentence, shall become the Minimum TNW Amount under this Section 6.7(b) for the fiscal year commencing the day after such adjustment and shall again be adjusted on the last day of such fiscal year as set forth herein.

  • The Obligated Group shall maintain, and Borrower shall cause the Obligated Group to maintain, Tangible Net Worth as of June 30, 2007 of at least the Initial Minimum TNW Amount, and thereafter, of at least the Minimum TNW Amount.

  • So long as this Agreement is in effect, at all times the Tangible Net Worth of Borrower shall be at least $18,300,000 (the "Minimum TNW Amount").

  • The Minimum TNW Amount shall, as of the last day of each fiscal year of Borrower, (i) be increased by 50% of Borrower’s net profits for such fiscal year and (ii) be adjusted to add to shareholders’ equity any negative change in Borrower’s foreign currency adjustment and to subtract therefrom any positive change in Borrower’s foreign currency adjustment, in each case during such fiscal year.

  • The Minimum TNW Amount shall, as of the last day of each fiscal year of Borrower, (i) be increased by 50% of Borrower's net profits for such fiscal year and (ii) be adjusted to add to shareholders' equity any negative change in Borrower's foreign currency adjustment and to subtract therefrom any positive change in Borrower's foreign currency adjustment, in each case during such fiscal year.

  • Not permit Tangible Net Worth as of the last day of any Computation Period to be less than the Minimum TNW Amount.

Related to Minimum TNW Amount

  • Minimum Cash Amount shall have the meaning set forth in Section 6.2(iv).

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Minimum Cash Balance means a cash balance to be held by the Debtors on the Effective Date in an amount equal to $75 million plus any amounts received on account of GCI (as defined in the Uniti Term Sheet) reimbursements and Cash Payments (as defined in the Uniti Term Sheet) received by the Debtors on or before the Effective Date.

  • Minimum Equity Amount shall have the meaning provided in the recitals to this Agreement.

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.
