Minimum Product Charge definition

Minimum Product Charge the minimum monthly charge payable by Coffeyville Resources to BOC hereunder with respect to Product as more specifically described on Exhibit G hereto, subject to adjustment as provided herein.
Minimum Product Charge means the monthly base charge for Steam as charged by NEA under this Agreement as set forth in Section IV of Exhibit A attached hereto. 1.4 "Minimum Summer Flow Rate" shall mean 71,500 pounds of Steam per hour. 1.5 "Minimum Winter Flow Rate" shall mean 54,000 pounds of Steam per hour. 1.6 "Power" shall mean the amount of electricity generated by the NEA Plant which will be delivered to the Facility. 1.7 "Relevant Agreements" shall mean collectively, the Operating Lease and BOC Flue Gas Sale Agreement. 1.8 "Seasonal Take or Pay" shall mean BOC's required hourly average Summer or Winter Flow Rates of Steam during the Summer and Winter seasons, respectively, as set forth in Section I of Exhibit A attached hereto and subject to the availability allowances stated herein. 1.9 "Shortfall" shall mean the condition when (i) NEA is producing or making available the Steam at less than the Minimum Summer or Minimum Winter Flow Rates as set forth in Section I of Exhibit A attached hereto required by BOC pursuant to this Agreement or (ii) that Power and/or Flue Gas are not available such that the Facility cannot operate at the production levels that it has been demonstrated to be capable of running. 1.10 "Steam" shall mean steam produced by the NEA Plant meeting the Specifications. 1.11 "Specifications" shall mean the temperature and pressure specifications of Steam to be supplied under this Agreement as set forth in Section II of Exhibit A hereto. 1.12 "Supply Period" shall mean the Initial Supply Period defined in Section III of Exhibit A during which NEA agrees to supply Steam to the Facility, and any extensions therein. 1.13 "Summer" shall mean the period of time running from May 1st up to and including October 31st for each year during the Supply Period. 1.14 "Winter" shall mean the period of time running from November 1st up to and including April 30th for each year of the Supply Period. 2.

Examples of Minimum Product Charge in a sentence

  • Annually during the Supply Period, the Minimum Product Charge and the unit prices for gaseous Product purchased by Coffeyville Resources hereunder shall be subject to price adjustment by BOC as set forth in Exhibit B hereto.

  • Coffeyville Resources will apply those credits against BOC’s invoices for the Minimum Product Charge.

  • In the event BOC has not received payment within forty (40) days of the date of a Minimum Product Charge Invoice, BOC at its sole option may assess interest thereon at an annual rate equal to the prime rate then in effect at Chase Manhattan Bank, N.A., plus two percent (2%) from and after the date such payment was due to the date when paid.

  • On or before the 10th day of each month, BOC shall submit an invoice (each, a “Minimum Product Charge Invoice”) to Coffeyville Resources covering the Minimum Product Charge applicable to such month.

  • On or before the 10th of each month, BOC shall submit an invoice (each, an “Other Charges Invoice”) to Coffeyville Resources covering all charges and other sums other than the Minimum Product Charge, if any, applicable to the immediately preceding month as well as all Product delivered prior to such month that was not covered by a prior invoice.

  • All Minimum Product Charge Invoices shall be on a net cash basis, payable by Coffeyviile Resources within twenty (20) days after receipt thereof.

  • Each time that, due to any Force Majeure, BOC delivers less Product than is required by Coffeyville Resources under Section 3(a) or Coffeyville Resources is unable to take any Product for five (5) or more consecutive full days, that portion of the Minimum Product Charge (together with any then applicable price adjustment) which Coffeyville Resources would otherwise have been obligated to pay to BOC pursuant to this Agreement that is apportionable to such full days shall be abated.

  • If either BOC or Coffeyville Resources so elects in writing, the Supply Period shall be extended for two times the number of full days with respect to which such Minimum Product Charge was so abated.

  • Annually during the Supply Period, the Minimum Product Charge and the unit prices for gaseous Product purchased by Farmland hereunder shall be subject to price adjustment by BOC as set forth in Exhibit B hereto.

  • Annually during the Supply Period, the Minimum Product Charge and the unit prices for gaseous Product purchased by Coffeyville Resources hereundershall be subject to price adjustment by BOC as set forth in Exhibit B hereto.

Related to Minimum Product Charge

  • Manufacturing Cost means ***

  • Manufacturing site means the facilities where a Compound is Manufactured by or on behalf of a Party, as such Manufacturing Site may change from time to time in accordance with Section 8.7.

  • Manufacturing Costs means the costs of Processing that generate Manufacturing Proceeds received by Grantor.

  • Final Product means a product that is not used in producing other products and is built and intended for use outdoors, provided the final product has not deteriorated or has otherwise become a potential source of contaminants.

  • Contract Quantity means the quantity of Delivered Energy expected to be delivered by Seller during each Contract Year as set forth in Section 3.1(e).

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Yearly (1/Year) sampling frequency means the sampling shall be done in the month of September, unless specifically identified otherwise in the effluent limitations and monitoring requirements table.

  • Product Group or “the Group” means a group of lotteries that has joined together to offer a product pursuant to the terms of the Multi-State Lottery Agreement and the Product Group’s own rules.

  • Net Sales Revenue shall have the meaning as set out in Schedule "A"

  • Product Schedule means PTC’s standard order form entitled “PTC Product Schedule” (including all schedules, attachments and other document(s) specifically referenced therein) or such alternative order form as may be submitted by Customer and accepted by PTC, in each case that specifies (i) the Licensed Products and/or Services ordered; and (ii) for Licensed Products, the installation address (including the Designated Country) and the Licence Term.

  • Finished Products means the fully assembled and shrink-wrapped Licensed Products, each including a Game Cartridge, Game Cartridge label and Printed Materials.
