Minimum Performance Threshold definition

Minimum Performance Threshold means (a) for each Fiscal Quarter during the 2017 Fiscal Year, Four Hundred Six Thousand Two Hundred Fifty and No/100 Dollars ($406,250.00) (prorated for any partial Fiscal Quarter, if necessary), (b) for each Fiscal Quarter during the 2018 Fiscal Year, Four Hundred Sixteen Thousand Four Hundred Six and No/100 Dollars ($416,406.00) (and prorated for any partial Fiscal Quarter) during the Term, (c) for each Fiscal Quarter during the 2019 Fiscal Year, Four Hundred Twenty-Six Thousand Eight Hundred Sixteen and No/100 Dollars ($426,816.00) (and prorated for any partial Fiscal Quarter) during the Term, (d) for each Fiscal Quarter during the 2020 Fiscal Year, Four Hundred Thirty-Seven Thousand Four Hundred Eighty-Seven and No/100 Dollars ($437,487.00) (and prorated for any partial Fiscal Quarter) during the Term, (e) for each Fiscal Quarter during the 2021 Fiscal Year, Four Hundred Forty-Eight Thousand Four Hundred Twenty-Four and No/100 Dollars ($448,424.00) (and prorated for any partial Fiscal Quarter) during the Term, and (f) for each Fiscal Quarter during each Fiscal Year thereafter, an amount equal to the amount due each Fiscal Quarter for the prior Fiscal Year, increased by two and one half of one percent (2.5%) for each Fiscal Year.
Minimum Performance Threshold has the meaning set forth in Section III.A of Annex II (Compensation – Incentives and Penalties).
Minimum Performance Threshold means the requirement to achieve year-to-date EBITDA, measured as of each month end set forth below for the fiscal year-to-date period then ending, of greater than the applicable amount set forth below:

  • Minimum Percentage means 3% of the number of outstanding shares of common stock of the Corporation as provided in the most recent 1934 Act filing made by the Corporation with the SEC immediately prior to the submission of the Nomination Notice.

  • Performance Targets means the specific objective goal or goals (which may be cumulative and/or alternative) that are timely set in writing by the Committee for each Executive for the Performance Period in respect of any one or more of the Business Criteria.

Each such measure shall be, to the extent applicable, determined in accordance with generally accepted accounting principles as consistently applied by the Company (or such other standard applied by the Committee) and, if so determined by the Committee, and in the case of a Performance Compensation Award, to the extent permitted under Code Section 162(m), adjusted to omit the effects of extraordinary items, gain or loss on the disposal of a business segment, unusual or infrequently occurring events and transactions and cumulative effects of changes in accounting principles. Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Minimum DSCR means, with respect to a Supplemental Loan, (i) if the Senior Indebtedness bears interest at a fixed rate, 1.25:1, or (ii) if the Senior Indebtedness bears interest at a floating rate, 1.10:1.

  • Ownership Threshold means, with respect to any Person, Beneficial Ownership of the greater of (A) 15% of the Common Shares at any time outstanding or (B) the percentage of the outstanding Common Shares Beneficially Owned by such Person on the date of this Rights Agreement, plus in the case of this clause (B) 1% of the Common Shares outstanding on such date.

  • Additional Accelerated Purchase Minimum Price Threshold means, with respect to an Additional Accelerated Purchase made pursuant to Section 2(c) hereof, any minimum per share price threshold set forth in the applicable Additional Accelerated Purchase Notice.

  • Extreme performance coating means coatings designed for harsh exposure or extreme environmental conditions.

  • Performance Level means a reference to one of Performance Level I, Performance Level II, Performance Level III, Performance Level IV or Performance Level V.

  • Minimum Period of Service means a period of 12 consecutive months beginning on the Service Start Date, unless set out otherwise in any applicable Order.

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Long-Term Performance Award means an award under Section 10 below. A Long-Term Performance Award shall permit the recipient to receive a cash or stock bonus (as determined by the Committee) upon satisfaction of such performance factors as are set out in the recipient's individual grant. Long-Term Performance Awards will be based upon the achievement of Company, Subsidiary and/or individual performance factors or upon such other criteria as the Committee may deem appropriate.
