Minimum Offering Proceeds definition

Minimum Offering Proceeds. The minimum amount of Capital Contributions and Non-Capital Contributions which must be raised by the Company in a given mini-maxi securities offering before any of the Contributions for that offering may be Closed-on and thereby made the property of the Company, as would be specifically set forth in the Offering Circular and the Subscription Agreement. THIS IS NOT A MINI-MAXI OFFERING AND THERE IS NO SUCH Offering Minimum OTHER THAN THE VALUE OF THE ONE (1) UNIT MINIMUM PURCHASE REQUIREMENT PER Investor.
Minimum Offering Proceeds means One Million Dollars US($1,000,000).
