Minimum Guarantees definition

Minimum Guarantees shall have the meaning set forth in Section 3(c).
Minimum Guarantees means the Dollar amount of the minimum sums guaranteed and payable by Licensees under License Agreements inclusive of deposits or advances payable prior to delivery of the Picture to each applicable Licensee.

Examples of Minimum Guarantees in a sentence

  • Licensee’s obligation to pay Minimum Guarantees is not abated by the occurrence of any event, including but not limited to the expiry or invalidation of any issued patent or any claim therein, the unsuccessful application of any patent application, or the abandonment of any Prospective Patent by Licensee under Clause 8.5 of this Agreement.

  • The parties agree that (i) such recoupment is not to be construed as a set-off, and that (ii) except as expressly provided in this agreement, the Minimum Guarantee(s) for one Partner Product shall not be recoupable against Interplay Proceeds accrued for any/all other Partner Products (i.e., there shall be no cross-collateralization).

  • Each party's obligation to pay the other party any amounts due hereunder, other than then unpaid Minimum Guarantees with respect to the terminated Partner Product(s), shall continue (e.g., VUG shall continue to timely pay Interplay all Minimum Guarantees and Interplay Proceeds due with respect to any/all Partner Product(s) not so terminated, and VUG shall continue to pay Interplay all Interplay Proceeds due during any Sell-Off Period with respect to the terminated Partner Product(s)).

  • Subject to VUG's rights under SECTION 18.3 below, in the event that Interplay cancels and/or loses the right to grant to VUG the rights to distribute and sell any Partner Product, such Partner Product shall be deleted from coverage under this Agreement and VUG's sole remedy shall be to withhold from the Interplay Proceeds for any Partner Product VUG's actual unrecouped expenditures, including any unrecouped Minimum Guarantees, with respect to such cancelled and/or lost Partner Product(s).

  • As consideration for the grant of License and the further obligations of Interplay as described hereunder, VUG shall pay Interplay the Interplay Proceeds and Minimum Guarantees defined in EXHIBIT A.

  • Subject to VUG's recoupment of all Minimum Guarantees (as provided in SECTION 1.3 of EXHIBIT A hereto), any Interplay Proceeds owed for the corresponding Statement period shall be remitted and paid to Interplay by wire transfer on or before the date the Statement is due.

  • Licensee’s obligation to pay Minimum Guarantees is not abated by the occurrence of any event, including but not limited to the expiry or invalidation of any issued patent or any claim therein, the unsuccessful application of any patent application, or the abandonment of any Prospective Patent by Licensee under Clause 8.7 of this Agreement.

  • If Minimum Guarantees are stated separately for different categories of Licensed Products or for different territories, royalty payments resulting from Net Sales of a category of Licensed Product or in a particular territory shall be applied only against the Minimum Guarantee for such category of Licensed Product or territory.

  • The foregoing is not intended to limit Licensee's obligations with respect to Territorial Shortfall payments, as set forth in the provisions below regarding Territorial Minimum Guarantees.

  • In the event, however, that the sum of Licensee's earned royalties and *************** worldwide in the aggregate properly reported by Licensee for any MG Period is less than the sum of all Territorial Minimum Guarantees worldwide in the aggregate for that MG Period (with the amount of the difference being an "Underage"), then the amount of the Underage shall be deducted from the aggregate amount of Territorial Shortfall payments that Licensee is required to make hereunder with respect to that MG Period.

Related to Minimum Guarantees

  • Subsidiary Guarantees means the guarantees of each Subsidiary Guarantor as provided in Article Thirteen.

  • Other Guarantees means all guarantees, other than this Preferred Securities Guarantee, to be issued by the Guarantor with respect to preferred securities (if any) similar to the Preferred Securities, issued by trusts other than the Issuer to be established by the Guarantor (if any), in each case similar to the Issuer.

  • Maximum Guaranteed Amount means as of the date of determination with respect to a Guarantor, the lesser of (a) the amount of the Guaranteed Obligations outstanding on such date and (b) the maximum amount that would not render such Guarantor’s liability under this Guaranty Agreement subject to avoidance under Section 548 of the United States Bankruptcy Code (or any successor provision) or any comparable provision of applicable state law.

  • Performance Guarantees means specific measurement indicators assigned to Contract tasks representing timeliness and quality of task output.

  • Note Guarantees means the Guarantees of the Initial Notes and any Additional Notes.
