Minimum Acceptance Level definition

Minimum Acceptance Level has the meaning specified in Section 6.15(a)(ii).
Minimum Acceptance Level means receipt of valid acceptances (which have not been withdrawn) in respect of shares in the Target such that following acquisition of such shares, the Borrower will hold not less than 75% (or such lesser percentage (but in no event less than 50.1%) as elected by the Borrower after, to the extent necessary, consultation with the Panel) of each class of shares in the Target on a fully diluted basis.
