Minimum Acceptance Level definition

Minimum Acceptance Level has the meaning specified in Section 6.15(a)(ii).
Minimum Acceptance Level means receipt of valid acceptances (which have not been withdrawn) in respect of shares in the Target such that following acquisition of such shares, the Parent will hold not less than 75% (or such lesser percentage (but in no event less than 50.1%) as elected by the Parent after, to the extent necessary, consultation with the Panel) of each class of shares in the Target on a fully diluted basis.

More Definitions of Minimum Acceptance Level

Minimum Acceptance Level has the meaning specified in Section 4(b)(i)(B). “Minimum Equity Condition” has the meaning given to it in the First Lien Amendment. “Offer” means if (subject to the consent of the Panel and the terms of the Cooperation Agreement) Apex Buyer elects to effect, the Acquisition by way of a takeover offer, as defined in Article 116 of the Jersey Companies Law, the offer to be made by or on behalf of Apex Buyer to acquire the issued and to be issued ordinary share capital of the Target on the terms and subject to the conditions set out in the related Offer Documents.

Related to Minimum Acceptance Level

  • Minimum Level (ML means the concentration at which the entire analytical system must give a recognizable signal and an acceptable calibration point. The ML is the concentration in a sample that is equivalent to the concentration of the lowest calibration standard analyzed by a specific analytical procedure, assuming that all the method-specified sample weights, volumes and processing steps have been followed.

  • Minimum Acceptable Price with respect to any Put Notice Date shall mean seventy-five percent (75%) of the lowest closing bid prices for the ten (10) Trading Day period immediately preceding such Put Notice Date.

  • Minimum Disbursement Amount means Twenty-Five Thousand and No/100 Dollars ($25,000).

  • Monthly Uptime Percentage means total number of minutes in a calendar month minus the number of minutes of Downtime suffered in a calendar month, divided by the total number of minutes in a calendar month.

  • Qualifying Replacement Capital Covenant has the meaning specified in the Replacement Capital Covenant.

  • Acceptance Day shall have the meaning specified in paragraph 2B(5).

The purpose of the Design Criteria Package is to furnish sufficient information to permit Design-Build Firms to prepare a bid or a response to the District’s Request for Proposals, or to permit the District to enter into a negotiated Design- Build Contract. The Design Criteria Package must specify performance- based criteria for the public construction project, including the legal description of the site, survey information concerning the site, interior space requirements, material quality standards, schematic layouts and conceptual design criteria of the project, cost or budget estimates, design and construction schedules, site development requirements, provisions for utilities, stormwater retention and disposal, and parking requirements applicable to the project. Design Criteria Packages shall require firms to submit information regarding the qualifications, availability, and past work of the firms, including the partners and members thereof.
