Minimizing the tax liabilities of a consolidated group shall mean minimizing the present value of the aggregate liabilities of such group (including all of its members) for such tax or taxes in all periods discounted at a rate of ten percent (10%) per annum, determined under all the facts and circumstances known (or reasonably anticipated) at the date such minimization is being tested and taking into account the anticipated out-of-pocket costs of resolving administrative disputes and litigation with the taxing authorities and the likelihood of prevailing.
