Millennium Technology means all Intellectual Property Rights which are Controlled by Millennium or its Affiliates as of the Effective Date (including all Intellectual Property Rights Controlled by Millennium or its Affiliates which were developed, conceived or reduced to practice by or on behalf of Millennium in the course of its performance of the System Agreement) that are necessary for the development or commercialization of the [*] System and/or Product, or are [*] or [*] for use with the [*] System.
