Nothing in this Agreement is intended to or shall impair the obligations of any Grantor, which are absolute and unconditional, to pay the Midstream Credit Agreements Obligations under the Midstream DevCo Guarantees in accordance with their terms.
The parties hereto acknowledge that the Grantors have executed this Agreement solely (a) to give effect to the amendment and restatement of the Original Intercreditor Agreement pursuant to Section 5.3 of the Original Intercreditor Agreement and (b) in compliance with, and in furtherance of, the obligations of the Grantors under the Midstream DevCo Guarantees and the Midstream DevCo Collateral Documents.
