There are no outstanding or authorized equity appreciation, phantom equity or similar rights with respect to MICT.
There are no outstanding requests by MICT for any extension of time within which to file any Tax Return or within which to pay any Taxes shown to be due on any Tax Return.
None of the outstanding MICT Securities has been issued in violation of any applicable securities Laws.
