Microsoft Affiliate definition

Microsoft Affiliate means Microsoft Limited or Microsoft Ireland Operations Limited.
Microsoft Affiliate means any entity that directly or indirectly controls, is controlled by or is under common control of Microsoft.
Microsoft Affiliate means an entity that owns, is owned by, or is under common ownership with the Microsoft entity identified in the Enrollment. Ownership means control of more than 50% of equity interests of, or the right to direct the management of, an entity for so long as such control exists.

Examples of Microsoft Affiliate in a sentence

  • If Customer brings the action against Microsoft or any Microsoft Affiliate located outside of Europe, the venue will be the state or federal courts in King County, State of Washington, USA.

  • If the terms of this agreement are entered into with any Microsoft Affiliate located outside of Europe, this agreement will be governed by and construed in accordance with the laws of the State of Washington and federal laws of the United States.

  • If the terms of this agreement are entered into with any Microsoft Affiliate located in Europe, this agreement will be governed by and construed in accordance with the laws of the Republic of Ireland.

  • In the event a Microsoft Affiliate issues a Program, the Applicable Law and Jurisdiction will be based on the location of the Microsoft Affiliate.

  • Resellers and other third parties do not have authority to bind or impose any obligation or liability on the Microsoft Affiliate that enters into this Enrollment.

  • If a Program is issued by a Microsoft Affiliate, the terms of the Agreement will apply to and will be incorporated into such Program and Company agrees that the Program will be strictly as between the Microsoft Affiliate and Company and Microsoft will have no responsibility whatsoever for such Program.

  • Notwithstanding Section 11 of the MAICPP Agreement, terms for a Program may designate a Microsoft Affiliate as the Microsoft Contracting Entity for that Program.

  • Microsoft may, in its sole discretion, deem a termination for breach of the Channel Terms of an agreement between Company and a Microsoft Affiliate, where Company is the breaching party, to be a breach of, and the basis of an immediate termination of, these Channel Terms.

  • Microsoft may assign these Additional Terms (or delegate certain duties) to a Microsoft Affiliate at any time upon 30 days’ notice, provided that such assignment or delegation will not materially impair your rights and remedies under these Additional Terms.

  • Microsoft may, in its sole discretion, deem a termination for breach of the Core Terms of an agreement between Company and a Microsoft Affiliate, where Company is the breaching party, to be a breach of, and the basis of an immediate termination of, these Core Terms.

Related to Microsoft Affiliate

  • Customer Affiliate means an entity that owns or controls, is owned or controlled by or is or under common control or ownership with Customer, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise;

  • Downstream Affiliate means an entity whose outstanding Voting Shares were, at the date of issuance of the Qualifying Guarantee, more than 50 per cent. owned, directly or indirectly, by the Reference Entity.

  • Parent Affiliate means any Person under common control with any of the Parent Entities within the meaning of Section 414(b), Section 414(c), Section 414(m) or Section 414(o) of the Code, and the regulations issued thereunder.

  • Screened Affiliate means any Affiliate of a Holder (i) that makes investment decisions independently from such Holder and any other Affiliate of such Holder that is not a Screened Affiliate, (ii) that has in place customary information screens between it and such Holder and any other Affiliate of such Holder that is not a Screened Affiliate and such screens prohibit the sharing of information with respect to the Company or its Subsidiaries, (iii) whose investment policies are not directed by such Holder or any other Affiliate of such Holder that is acting in concert with such Holder in connection with its investment in the Notes, and (iv) whose investment decisions are not influenced by the investment decisions of such Holder or any other Affiliate of such Holder that is acting in concert with such Holders in connection with its investment in the Notes.

  • Tenant Affiliate means and refer to any partnership, limited liability company, or corporation or other entity, which, directly or indirectly, through one or more intermediaries, Controls, is Controlled by, or is under common Control with, Tenant.
