Other than the filing of the Certificate of Merger with the Michigan DLEG, all consents, approvals and authorizations of any Governmental Entity required to consummate the Merger shall have been obtained.
This Agreement may be amended by the parties in writing by action of their respective Boards of Directors at any time before or after the Company Required Vote has been obtained and prior to the filing of the Certificate of Merger with the Michigan DLEG; provided, however, that, after the Company Required Vote shall have been obtained, no such amendment, modification or supplement shall be made which by Law requires the further approval of the Company Shareholders without such further approval.
