As Chief Information Officer of the MIAX Exchange, Executive shall be responsible for all aspects of technology development and operations, information security, project management, trading/business operations and physical security and ancillary matters for the MIAX Exchange.
Executive shall be entitled to participate in any technology bonus plan (“Technology Bonus Plan”) established by the Compensation Committee during the Term, which Technology Bonus Plan shall be funded with a percentage of the profits before interest, taxes, depreciation and amortization (“EBITDA”) received from the license and/or sale of technology products and services by MIAX Technologies during such period.
As EVP, Strategic Planning and Business Development of the MIAX Exchange, Executive shall be responsible and report to the Chairman and Chief Executive Officer of the applicable MIAX Exchange.
In addition, Executive shall also continue to serve as Chairman of MIAX Futures, LLC (“MIAX Futures”), the Minneapolis Grain Exchange, LLC (“MGEX”) and The Bermuda Stock Exchange (“BSX”).
Executive shall serve as Executive Vice President - Strategic Planning and Business Development for Miami International Securities Exchange, LLC (“MIAX”), MIAX PEARL, LLC (“MIAX PEARL”) and MIAX Emerald, LLC (“MIAX Emerald”) (MIAX, MIAX PEARL and MIAX Emerald are hereinafter collectively referred to as the “MIAX Exchange Group” or individually and collectively referred to as the “Exchange”).
Executive desires to render services as Executive Vice President - Strategic Planning and Business Development for the Company and the MIAX Exchange Group pursuant to the terms and conditions of this Agreement.
Executive shall also continue to serve as Chairman and Chief Executive Officer of Miami International Securities Exchange, LLC (“MIAX”), MIAX PEARL, LLC (“MIAX Pearl”) and MIAX Emerald, LLC (“MIAX Emerald”) (MIAX, MIAX Pearl and MIAX Emerald are hereinafter collectively referred to as the “Exchange”), Miami International Technologies, LLC (“MIAX Technologies”), M 402 Holdings, LLC, MIAX Global, LLC and MIAX Products, LLC.
Executive shall also continue to serve as Executive Vice President, General Counsel and Corporate Secretary of Miami International Securities Exchange, LLC (“MIAX”), MIAX PEARL, LLC (“MIAX Pearl”) and MIAX Emerald, LLC (“MIAX Emerald”) (MIAX, MIAX Pearl and MIAX Emerald are hereinafter collectively referred to as the “Exchange”), Miami International Technologies, LLC (“MIAX Technologies”), MIAX Futures, LLC (“MIAX Futures”), M 402 Holdings, LLC, MIAX Global, LLC and MIAX Products, LLC.
Executive shall also serve as Executive Vice President, Chief Financial Officer (“CFO”) of the Company’s wholly-owned subsidiaries, including Miami International Securities Exchange, LLC (“MIAX”), MIAX PEARL, LLC (“MIAX Pearl”), MIAX Emerald, LLC (“MIAX Emerald”), MIAX Global, LLC (“MIAX Global”), Miami International Futures, LLC (“MIAX Futures”), and Miami International Technologies, LLC (“MIAX Technologies”).
