The Surviving Company shall deliver to the Holder Representative copies of each such Pass-Through Tax Return at least twenty (20) days prior to the due date (taking into account extensions of time to file) for filing such Pass-Through Tax Return and shall permit MI Procurement, in its capacity, immediately prior to the Effective Time, as the Company’s Tax Matters Partner, to review, comment on and approve such Tax Returns.
The Surviving Company shall make all reasonable comments requested by MI Procurement and no Tax Returns prepared pursuant to this Section 8.4(c) shall be filed without the prior approval of MI Procurement (not to be unreasonably withheld).
