  • Notwithstanding any question or concern that the Company may have or the results of any third party validating the Rebate Data, the Company shall remit its payment of the relevant rebate in full to MHSAL within the timelines set out by this Agreement, provided that an authorized representative employed with MHSAL certifies in writing that the Rebate Data is accurate.

  • Furthermore, the PHARMACY OWNER shall fully cooperate with MHSAL in any measures to be taken by MHSAL to determine if any other Beneficiary has received a non- designated or counterfeit drug.

  • The PHARMACY OWNER shall not disclose or use or enable anyone else to disclose or use, in whole or in part, any such Confidential Information other than for the purpose of providing the services to be provided hereunder unless required by law and shall promptly return all Confidential Information to MHSAL upon termination of this Agreement.

  • The PHARMACY OWNER shall provide evidence of such good standing, certification and licensure without charge to MHSAL within five (5) calendar days of any written request thereof by MHSAL.

  • Additionally, MHSAL shall use commercially reasonable efforts to ensure that any systems changes that affect the POS technology are tested before implementation at the Pharmacy level.

  • If requested by the Company during such 30 day period, MHSAL shall provide sufficient data to an impartial third party designated by the Company in order for the Company to validate the Rebate Data.

  • The Company acknowledges that any Company Information which comes into the possession of MHSAL cannot be returned to the Company or its affiliates, if any, but can only be destroyed in accordance with the herein mentioned archival/record keeping and destruction laws and policies and after the applicable period for any audit to be performed of the financial arrangements contemplated by this Agreement.

  • In the event that such final review or audit results in a recovery of paid Claims, the PHARMACY OWNER has up to thirty (30) days in which to pay to MHSAL (drawn payable to the “Minister of Finance”) l) the full amount of the Overpayment identified by MHSAL.

  • If the PHARMACY OWNER fails to remit payment in full to MHSAL within such thirty (30) day period, MHSAL may, in addition to any other remedies available to MANITOBA, withhold payment of any future Claims to the PHARMACY OWNER until such time that the Overpayment is paid in full to MHSAL.

  • The PHARMACY OWNER shall ensure that its computer software is upgraded to the satisfaction of MHSAL’s information technology personnel so as to accompany any technology changes that MHSAL may choose to implement in the public interest.
