  • The MG Trust will take all action necessary to obtain approval of the transactions contemplated herein.

  • In addition, and without limiting the foregoing, Sellers shall, and shall cause Company to, use commercially reasonable efforts to cause MG Trust to perform all necessary steps leading up to and at Closing to enable the transfer of MG Trust’s trustee responsibilities for the collective investment funds to the new trustee designated by Purchaser as promptly following closing as possible.
