MFT Assets definition

MFT Assets means all properties, assets, privileges, rights, interests and claims, real and personal, tangible and intangible, of every type and description, which are belonging to or usually or ordinarily used in the MFT Business, as a going concern, or to which MFT is entitled in connection with the MFT Business, including without limitation:

Examples of MFT Assets in a sentence

  • MFT is the owner of and has good and marketable title to all of the MFT Assets, including, without limitation, all MFT Assets reflected in the MFT Financial Statements and all MFT Assets acquired by MFT after the date of the MFT Financial Statements.

  • The MFT Assets constitute all of the assets, of any nature whatsoever, necessary to operate the MFT Business in the manner presently operated by MFT.

Related to MFT Assets

  • Parent Assets means all Assets of either Party or the members of its Group as of the Effective Time, other than the SpinCo Assets, it being understood that, notwithstanding anything herein to the contrary, the Parent Assets shall include:

  • Investment Assets means all debentures, notes and other evidences of Indebtedness, stocks, securities (including rights to purchase and securities convertible into or exchangeable for other securities), interests in joint ventures and general and limited partnerships, mortgage loans and other investment or portfolio assets owned of record or beneficially by the Company.

  • Sale Assets is defined in Section 5.2(a)(ii).

  • Company IT Assets means all Software, systems, servers, computers, hardware, firmware, middleware, networks, data, data communications lines, routers, hubs, switches and all other information technology equipment, and all associated documentation owned by or licensed, pursuant to valid and enforceable license agreements, to the Company and its Subsidiaries.

  • Subject Assets is defined in Section 2.2(c).
