• The Asset Management Fee is payable on the first business day of each month; provided, however, that the amount of any asset management fee payable will be reduced to the extent that the Company's modified funds from operations ("MFFO") during the previous month is less than the amount of asset management fees paid during such month.

MFFO means the Parent’s “Modified Funds From Operations” as such term is defined in and determined in accordance with the Investment Program Association’s Practice Guideline 2013-01, dated as of April 29, 2013, as modified from time to time.

MFFO means AF REIT’s “Modified Funds From Operations” as such term is defined in and determined in accordance with the Investment Program Association’s Practice Guideline 2010-01, dated as of November 2, 2010, as modified from time to time, and, prior to listing of the Stock of AF REIT on a national securities exchange, calculated per AF REIT’s filings on Form 10-K or Form 10-Q, as the case may be, most recently delivered prior to any date of determination, plus the sum of deferred financing costs, deferred leasing commissions and non-recurring and non-cash items.

MFFO. With respect to any Person at any time, FFO calculated without giving effect to the following: (a) acquisition fees and expenses; (b) straight-line rent and amortization of above or below intangible lease assets and liabilities; (c) amortization of discounts, premiums and fees on debt investments; (d) non-recurring impairment of real estate-related investments; (e) realized gains (or losses) from the early extinguishment of debt; (f) realized gains (or losses) on the extinguishment or sales of ▇▇▇▇▇▇, foreign exchange, securities and other derivative holdings, except where the trading of such instruments is a fundamental attribute to such Person’s business; (g) unrealized gains (or losses) for fair value adjustments on real estate securities, including commercial mortgage-backed securities and other securities, interest rate swaps and other derivatives not deemed ▇▇▇▇▇▇ and foreign exchange holdings; (h) unrealized gains (losses) from the consolidation from, or deconsolidation to, equity accounting; (i) adjustments related to contingent purchase price obligations; and (j) adjustments for consolidated and unconsolidated partnerships and joint ventures. For the avoidance of doubt, the calculation of “MFFO” as provided herein should be consistent with the calculation of MFFO disclosed in any financial statements of the Guarantor.

MFFO means ARCAF REIT’s “Modified Funds From Operations” as such term is defined in and determined in accordance with the Investment Program Association’s Practice Guideline 2010-01, dated as of November 2, 2010, as modified from time to time, and calculated per AF REIT’s filings on Form 10-K or Form 10-Q. For the avoidance of doubt, MFFO includes adjustments to exclude fees, expenses and charges incurred during such period, directly relating to the negotiation of and entry into the Merger.
