As soon as practicable following the date of this Agreement and in any event not less than three days prior to dissemination of the MFC Proxy Statement, KBI shall appoint the Exchange Agent to act as exchange agent for payment of the Common Stock Consideration upon surrender of certificates representing MFC Common Stock.
