  • No Shareholder is party to any Contract relating to any of the Interests or any other securities of Mexico SRL; no Shareholder has any options, warrants, convertible securities or other rights to acquire any securities of Mexico SRL; and no Shareholder owns, has or has any right to any securities in Mexico SRL other than the Interests as detailed on Schedule A.

  • Buyers shall cause Mexico SRL to effectuate the Redemption in accordance with this Section 12.2.
