  • Without limiting the generality of the foregoing, ValGold shall ensure that the Circular does not contain any misrepresentation (other than with respect to any information relating to and provided by Metalla).

  • Metalla and ValGold shall make a joint public announcement of the transactions contemplated hereby promptly following the execution of this Agreement, the text and timing of such announcement to be approved by both Parties in advance, acting reasonably.

  • To the extent it has not already done so, ValGold shall discontinue or deny access to all parties other than Metalla and their Representatives to any and all data rooms which may have been opened.
