Messenger Platform. Messenger Platform means the web-based application, developed and maintained by Valence Health, another third-party contractor, or SCC and employed by SCC to meet its obligations pursuant to Section 2 and facilitate Messenger Model contracting. Offer. Offer shall mean any proposal from a Payer to Provider for Provider to render Covered Services to Plan Patients. The Offer shall include payment terms as set forth in a Fee Schedule and any portion of associated Terms and Conditions which SCC is obligated in an agreement with the Payer to impose upon Provider should Provider Accept the Offer.
