All of such Material Agreements are valid, binding and legally enforceable obligations of Meridian and, to Meridian's knowledge, all other parties thereto, except as such enforceability may be limited by bankruptcy, moratorium, insolvency and similar laws affecting the rights and remedies of creditors and obligations of debtors generally and by general principles of equity.
