Mercy Corps definition

Mercy Corps means Mercy Corps Global and Mercy Corps Europe, their subsidiaries and affiliate organizations.

  • Mercy Corps will use reasonable efforts to minimize any taxes withheld to the extent allowed by law.

  • Contractor represents and warrants to Mercy Corps and covenants with Mercy Corps as follows.

  • If the law requires Mercy Corps to withhold taxes from payments to Contractor, Mercy Corps may withhold those taxes and pay them to the appropriate taxing authority.

  • Mercy Corps may withhold its consent to substitute personnel using its sole discretion.

  • Contractor will not delegate or subcontract any Services to be provided to Mercy Corps without Mercy Corps’ prior written consent.

  • However, Mercy Corps will not be responsible for any expenses incurred in anticipation of termination or suspension.

  • Mercy Corps will make payment to Contractor for all sums not in dispute within 30 days of receipt of Contractor’s invoice(s) (the “Payment Terms”).

  • Mercy Corps may off-set any amount it owes Contractor against any amount Contractor owes Mercy Corps.

  • Contractor is not owned in whole or in part, directly or indirectly, by any immediate or extended family member of any Mercy Corps employee, agent or representative, or, if so owned, Contractor fully disclosed such relationship and any potential conflict of interest has been waived, in writing, by Mercy Corps.

  • No right or obligation under this Agreement (including the right to receive monies due) will be assigned without the prior written consent of Mercy Corps.

Related to Mercy Corps

  • Subsidiary Corporation means any present or future “subsidiary corporation” of the Company, as defined in Section 424(f) of the Code.

  • Acquired Corporations means the Company and each of its Subsidiaries, collectively.

  • Affiliated Corporation means any corporation that is either a parent corporation with respect to the Company or a subsidiary corporation with respect to the Company (within the meaning of Sections 424(e) and (f), respectively, of the Internal Revenue Code).

  • Parent Corporation means any present or future “parent corporation” of the Company, as defined in Section 424(e) of the Code.

  • Related Corporation means any “parent corporation” or “subsidiary corporation” of the Company whether now or subsequently established, as those terms are defined in Sections 424(e) and (f), respectively, of the Code.
