Merchant Contracts definition

Merchant Contracts means those Transferred Contracts with Customers of the Merchant Processing Business that require the consent of such Customers to transfer such contract to the Companies in connection with the Transactions and that are set forth on Schedule 3.3(c).
Merchant Contracts shall have the meaning set forth in Section 3.9(c).
Merchant Contracts means, in the case of each Group Company and Business, as at Closing, Contracts entered into between: (i) the relevant Group Company or Business Transferor; and (ii) merchants or other parties who may refer or introduce merchants for the provision of point of sale, e-commerce gateway, merchant acquiring or related payment processing services (or a combination of such services) exclusively in the course of the business of the Group, to the extent that immediately before Closing the same remain to be completed or performed or remain in force together, in the case of any Merchant Contract, with any Merchant Collateral held by or on behalf of any Group Company or Business Transferor exclusively in relation to that Merchant Contract and not in relation to any other obligation of the counterparty to any member of the RBSG Group;

Merchant Contracts means Merchant Contracts entered into with the Business Transferors, unless expressly stated otherwise.

Related to Merchant Contracts

  • Customer Contracts means any Contracts pursuant to which the Company has provided or will provide products or services in connection with the Business.

  • IT Contracts means any agreements, licences or other contractual arrangements with third parties relating to the IT Systems or IT Services, including licences of all software, leases of hardware and other procurement of IT Systems or IT Services;

  • Client Contract means a futures or option contract between us and you, which is matched by an identical Contract;

  • Procurement Contract or “Contract” means any written agreement of the Authority for the acquisition of goods or services of any kind in the actual or estimated amount of $25,000, or more.

  • Management Contract means the contract executed between the treasurer and a program manager.

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Project Contracts means collectively this Agreement, the Land Lease Agreement, the Construction Contract, O&M Contracts (if any) and any other material contract (other than the Financing Documents) entered into or may hereafter be entered into by the Concessionaire in connection with the Project;

  • Existing Contracts means the existing licenses and contracts given by the Railway Administration / Authority, in relation to commercial establishments, as existing on Station Development Land, as on the date of the Agreement, and as further set out in the Schedules, which shall, for avoidance of doubt, exclude any licenses and/ or contracts in relation to any Excluded Activities and/or Railway Operational Activities;

  • Supply Contracts means contracts having as their object the purchase, lease, rental or hire-purchase, with or without an option to buy, of products. A supply contract may include, as an incidental matter, siting and installation operations;

  • Customer Contract means any written contract or agreement (other than trade contracts) between Seller and any of its customers (or under which Seller has rights) which has been entered into and signed by the parties thereto in connection with the publication of the Directories and corresponding provision of Directory Services.

  • Employment Contracts means Contracts, whether oral or written, relating to a Business Employee, including any communication or practice relating to a Business Employee which imposes any obligation on Seller or any of its Subsidiaries.

  • Contracts means all contracts, agreements, binding arrangements, bonds, notes, indentures, mortgages, debt instruments, purchase order, licenses (and all other contracts, agreements or binding arrangements concerning Intellectual Property), franchises, leases and other instruments or obligations of any kind, written or oral (including any amendments and other modifications thereto).
