Merchant Base definition

Merchant Base means the portfolio of contracts whereby merchants participate in a merchant bank card processing system, and such contracts are originated by Co-Borrowers, its assignor or other predecessor in interest, under the Cynergy Processing Agreement or any other Processing Agreement.

  • Transfer the processing services for the Merchant Base, or any portion thereof, from the Merchant’s current processor to any processor other than Cynergy.

  • Sell or transfer the Merchant Base, or any portion thereof, to another Person.

  • Borrower will not transfer any portion of the processing services for the Merchant Base from the Primary Processing Agreement without first either paying off the Term Loan Note or arranging for an agreement between Borrower, RBL, and the new processor under similar terms and conditions as those set forth in Section 3.02(a).

  • The term "Merchant Base" means the portfolio of merchants that participate in a merchant bank card processing system that originates with Borrower, its assignor or other predecessor in interest, under the Processing Agreement.

Related to Merchant Base

  • Merchant Services means services provided to merchants relating to the authorization, transaction capture, settlement, chargeback handling and internet-based transaction processing of credit, debit, stored-value and loyalty card and other payment transactions (including provision of point of service devices and other equipment necessary to capture merchant transactions and other ancillary services).

  • Retail sales As defined in the definition of Net Revenue.

  • Base Load Generation Resource means a Generation Capacity Resource that operates at least 90 percent of the hours that it is available to operate, as determined by the Office of the Interconnection in accordance with the PJM Manuals.

  • Access Credentials means any username, identification number, password, license or security key, security token, PIN or other security code, method, technology or device used, alone or in combination, to verify an individual’s identity and authorization to access and use Hosted Services.

  • Merchant Account means the merchant account facility agreed between you and the Merchant Acquiring Bank.
