Membership Record definition

Membership Record means a record of the Members, maintained by the Secretary of BOX Holdings and updated from time to time as necessary and as provided in this Agreement, which shall include the name and address of each Member and the number of Units of each class held by each Member.
Membership Record means data stored in the Designated Smart Contract that records which public keys are designated as DAO Members.
Membership Record means the list of Members in all categories;

Examples of Membership Record in a sentence

  • All distributions of Available Cash with respect to which the Membership Record Date is before the date of such transfer or redemption shall be made to the transferor Member, and all distributions of Available Cash with Membership Record Dates thereafter shall be made to the transferee Member.

  • If BOX Holdings determines that Units not be represented by Unit Certificates, ownership of Units shall be recorded in the Membership Record.

  • Each Membership Record shall record the public key with respect to which the DAO Member may exercise their rights, if any, as a DAO Member through the Designated Smart Contract and the number of DAO Membership Tokens issued to and held by such DAO Member, and may also record any other relevant information regarding a DAO Member, as determined by the available key-value pairings within the Membership struct of the Designated Smart Contract.

  • The name and mailing address of each Member and the number and class of Units held by each and the Percentage Interest and Voting Percentage Interest represented thereby shall be as listed in the Membership Record.

  • All distributions with respect to which the Membership Record Date is before the date of such transfer or redemption shall be made to the transferor Member, and all distributions with Membership Record Dates thereafter shall be made to the transferee Member.

  • A Membership Record does not necessitate the assignment of DAO Member Tokens to a DAO Member, where a DAO Member is not required to hold DAO Membership Tokens to be deemed a DAO Member.

  • A person shall be deemed to be a DAO Member if and only if an instance of the Membership Record has been created with respect to such person in the Designated Smart Contract.

  • Membership is effective at midnight the day following receipt of payment and expires as shown on the Membership Record.

  • Member is the person or persons identified on the Membership Record and for whom towing benefits apply in accordance with the Member’s service level.

  • Unless otherwise specified in the Vesting Agreement, no consideration or other payment shall be due with respect to any LTIP Units that have been forfeited, other than any distributions declared with a Membership Record Date prior to the effective date of the forfeiture.
