Mello Roos districts, similar assessment districts, and any traffic ▇▇▇▇c▇ ▇▇tigation assessments or fees; (iv) any tax, surcharge or assessment which shall be levied in addition to or in lieu of real estate or personal property taxes, other than taxes covered by Article VIII; and (v) taxes based on the receipt of rent (including gross receipts or sales taxes applicable to the receipt of rent), and (vi) costs and expenses incurred in contesting the amount or validity of any Property Tax by appropriate proceedings. Notwithstanding the foregoing, general net income or franchise taxes imposed against Landlord shall be excluded.

To the extent any of the foregoing Property Taxes are assessed against the Project, Tenant shall be responsible for the proportionate share of such Taxes determined as the rentable square footage of the Building divided by the rentable square footage of all space in the Project.
