MEGA is a plaintiff in that certain civil action captioned Mega Group, Inc.
Each Vendor acknowledges and consents to Broome and the Mega Group retaining such personal information for as long as permitted or required by Applicable Laws.
The Payment Shares shall be distributed to the Vendors in proportion with the percentage of the Mega Group Shares held by them as set out in Schedule “A” hereto.

Notwithstanding any such waiver, the completion of the Transaction as contemplated by this Agreement by Broome shall not prejudice or affect in any way the rights of Broome in respect of the warranties and representations of the Vendors and the Mega Group set forth in this Agreement or any remedies which Broome may have hereunder or at law.
For purposes of the foregoing, the obligations of the Parties to use “commercially-reasonable efforts” to obtain waivers, consents and approvals to leases, loan agreements and other contracts shall not include any obligation to agree to a materially-adverse modification of the terms of such documents or to prepay or incur additional material obligations to such other Parties (and Broome and the Mega Group are expressly prohibited from doing so).
The aggregate purchase price payable by Broome to the Vendors for the purchase and sale of the Mega Group Shares shall be equal to two million five hundred thousand dollars ($2,500,000) (the “Purchase Price”).
All current and historical data and information provided by the Mega Group and the Vendor to Broome and their Representatives in writing in connection with the Transaction was and is complete and true and correct in all material respects as of the date made.
No outstanding Mega Group Shares are held in treasury or authorized or reserve for issuance.
