• The Liquidated damages payments and benefits due to the Executive if terminated without cause as set forth above, are hereby unconditionally guaranteed in full by Medley Credit Acceptance Corporation, the parent corporation to the Company.

• To the extent the Class A Common Stock is settled through the facilities of The Depository Trust Company, Medley LLC will, subject to Section 2.1(c) below, upon the written instruction of an exchanging LLC Unitholder, use its reasonable best efforts to deliver the shares of Class A Common Stock deliverable to such exchanging LLC Unitholder, through the facilities of The Depository Trust Company, to the account of the participant of The Depository Trust Company designated by such exchanging LLC Unitholder.

• In each case, the provisions of Sections 8.03 and 8.04 of the Medley LLC Agreement shall apply in the aggregate to LLC Units and shares of Class A Common Stock received in exchange for LLC Units held by each LLC Unitholder.

• Any such separate firm (x) for any Covered Person, its affiliates, directors and officers and any control persons of such Indemnified Party shall be designated in writing by Medley Group, (y) in all other cases shall be designated in writing by the Board.

• To the extent LLC Units are effectively transferred in accordance with the terms of the Medley LLC Agreement, the Permitted Transferee of such LLC Units shall be entitled to receive the benefits of this Agreement and shall be bound by the terms and provisions of this Agreement upon becoming bound hereby pursuant to Section 3.1(c).

(Cayman). “Medley Credit Agreement” means the credit agreement dated as of September 7, 2007 among Medley, the Company and CGEN Media Technology Company Limited (Hong Kong) (as amended). “Medley Warrants” means the warrants to purchase Company Ordinary Shares in an amount equal to 3% of the outstanding Company Ordinary Shares on a fully-diluted and as converted basis (excluding the Company Ordinary Shares for which such warrants are exercisable) pursuant to the warrant purchase agreement dated as of September 11, 2007 between the Company and Medley. “MOFCOM” means the Ministry of Commerce or, with respect to any matter to be submitted for examination and approval by the Ministry of Commerce, any government entity which is similarly competent to examine and approve such matter under the laws of the PRC. “Net Current Assets” means consolidated current assets minus consolidated current liabilities (in the case of the Company, current liabilities shall be reduced by the amount of any incremental provisioning for doubtful accounts which may arise between the date hereof and the First Closing Date as a result of a change in the Company’s accounting methods with respect thereto, if such change is made to treat such accounts in a manner consistent with treatment by Buyer).
