Medical Indication definition

Medical Indication means a particular disease or condition that is recognized in the Merck Manual of Diagnosis and Therapy as a distinct disease or condition for which a drug therapy can be developed and prescribed as a labeled indication, which disease or condition is different and distinct from any other Medical Indication for which a Licensed Product or Licensed Method is, at the particular time, being clinically developed or marketed. For clarity, Licensee shall pay the above milestone payments only once as to any particular milestone event for a particular Medical Indication. 8.2 If Licensee is obligated to pay milestone payments to a third party based on a license agreement granting Licensee rights to such third party’s intellectual property that covers the Licensed Product and/or Licensed Methods or their manufacture, sale, or use, then the foregoing milestone payments shall be [*] of the amount of such third party payments, subject to a [*] of the milestone amount set forth above. 8.3 In addition, Licensee shall pay The Regents a one-time milestone payment of [*] upon Licensee, its Affiliates and/or sublicensees first achieving cumulative gross sales of Licensed Products and/or Licensed Methods in the total amount of [*]. 8.4 Milestone payments shall be paid by Licensee within thirty (30) days of achieving the particular event for which the payment is owed.
Medical Indication means any human disease.
Medical Indication means a medical condition that a Pharmaceutical is intended to treat, reflected in the regulatory approval, including the treatment, prevention and diagnosis of a disease, as well a definition of a specific target population;
