For the avoidance of doubt, MECI shall provide all reasonably practical assistance (excluding the payment of money) to enable UPC to comply with its obligation.

Each Transaction Document to which MECI is a party is a legal, valid and binding obligation of MECI enforceable against MECI in accordance with its terms, except to the extent that enforceability may be limited by applicable bankruptcy, insolvency, moratorium, reorganization or other similar laws affecting the enforcement of creditors' rights and subject to general equitable principles.
There are no pending or, to the best of MECI's knowledge, threatened actions or proceedings of any kind, including actions or proceedings of or before any Governmental Authority, to which MECI is a party or is subject, or by which MECI or any of MECI's properties are bound that, if adversely determined to or against MECI, would have a material adverse effect, nor, to the best of MECI's knowledge, is there any basis for any such action or proceeding.
