Pursuant to an Agreement and Plan of Reorganization, dated as of May 9, 2000 (the "Reorganization Agreement"), MDSI acquired all of the outstanding voting securities of Connectria by a merger of a subsidiary of MDSI with and into Connectria as the surviving corporation (the "Merger") in a reorganization pursuant to Section 368(a) of the Internal Revenue Code of 1986, as amended (the "Code").
MDSI agrees to assist DDS in effecting the transfer of the MDSI-TBU Assets, including the MDSI-TBU IP Assets held by MDSI Software SRL (including the royalty obligation of MDSI Software SRL to MDSI-UK), to DDS in a tax-effective manner.
