MDR Reports definition

MDR Reports means the reports containing advisory data, threat data, vulnerability data, analyses, summaries, bulletins, and information made available to Customer in Critical Start’s provision of its MDR Services.

Examples of MDR Reports in a sentence

  • If Critical Start determines that (i), (ii) or (iii) above are not reasonably available, Critical Start may, at its option, terminate this Agreement and/or the affected Service Order and refund any pre-paid fees on a pro-rata basis for the allegedly infringing Products, Services or MDR Reports that have not been performed or provided.

  • Notwithstanding the foregoing, Critical Start shall have no obligation under this Section 12.1 for any claim resulting or arising from: (a) modifications made to the Products, Services or MDR Reports that were not performed or provided by or on behalf of Critical Start; or (b) the combination, operation or use by Customer, or anyone acting on Customer’s behalf, of the Products, Services or MDR Reports in connection with a third-party product or service (the combination of which causes the infringement).

  • If an Indemnified Claim under this Section 12.1 occurs, or if Critical Start determines that an Indemnified Claim is likely to occur, Critical Start shall, at its option: (i) obtain a right for Customer to continue using such Products, Services or MDR Reports; (ii) modify such Products, Services or MDR Reports to make them non-infringing; or (iii) replace such Products, Services or MDR Reports with a non-infringing equivalent.

  • Without limiting the foregoing, Xxxxxx will own all right, title, and interest in all IP in any MDR Reports made available to Customer.

  • Customer acknowledges that any license to the Quzara Products, Services, Works and MDR Reports expires upon the expiration or termination of the relevant Service Order or this Agreement.

  • During the term of the this Agreement, Quzara grants to Customer a limited, non-exclusive license to use such Works and MDR Reports solely for Customer to receive the Services and for Customer’s or its Affiliate’s internal security purposes only.

Related to MDR Reports

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, the state where Borrower’s chief executive office is located, the state of Borrower’s formation and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Monthly Reports shall have the meaning specified in Section 5.16(b) of the Indenture.

  • Subscriber Reports means the monthly Subscriber reports to be provided by Affiliate to the Authorized Representative in terms of Clause 11 of this Agreement.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Company’s Reports means (i) the Company’s Annual Report on Form 10-K for the year ended December 31, 2019, as filed with the SEC, including the audited financial statements contained therein and the information from the Company’s definitive proxy statement for its 2020 annual meeting of shareholders incorporated by reference into the Form 10-K; and (ii) the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2020, as filed with the SEC, including the unaudited financial statements contained therein.

  • Progress Reports The Progress Reports as required by the individual Task Work Orders issued pursuant to this Agreement. Responsible: Responsible or Responsibility means the financial ability, legal capacity, integrity and past performance of Contractor and as such terms have been interpreted relative to public procurements. See NYS Finance Law § 163(1)(c).

  • Quarterly Reports shall have the meaning assigned in Article 6.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 11, 2022 and effective December 31, 2021.

  • Reports means the reports described in Schedule B as well as any other reports or information required to be provided under the Enabling Legislation or this Agreement;

  • Periodic Reports means the Company’s (i) Annual Reports on Form 10-K, (ii) any Quarterly Report to be filed on Form 10-Q and (iii) all other financial reports required to be filed by the Company with the Commission under applicable laws and regulations (including, without limitation, Regulation S-K) for so long as any amounts are outstanding under this Debenture or any Other Debenture; provided that all such Periodic Reports shall include, when filed, all information, financial statements, audit reports (when applicable) and other information required to be included in such Periodic Reports in compliance with all applicable laws and regulations.

  • City Ledger Report means a list submitted by the Contractor indicating on a daily basis its total number of sleeping room nights rented as well as the total number for sleeping rooms removed from its available inventory or rentals, for purposes of repair.

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • insider report means a statement required to be filed pursuant to Section 16 of the Exchange Act (or any successor provisions), by a person who is a director of the Corporation or who is directly or indirectly the beneficial owner of more than ten percent of the shares of the Corporation.

  • Privacy Statements means, collectively, any and all of the Company’s privacy statements and policies published on Company websites or products or otherwise made available by the Company regarding the collection, retention, use and distribution of the personal information of individuals, including, without limitation, from visitors or users of any Company websites or products (“Individuals”);

  • Consumer report means any written, oral or other communication of any information by a consumer reporting agency bearing on your credit worthiness, credit standing, credit capacity, character, general reputation, personal characteristics, or mode of living which is used or expected to be used or collected in whole or in part for the purpose of serving as a factor in establishing your eligibility for employment purposes.

  • Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.

  • Company Reports has the meaning set forth in Section 3.08(a).

  • CREFC® Investor Reporting Package® shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.

  • Distribution Report The meaning specified in Section 10.7(b).

  • ESDM Report means the Emission Summary and Dispersion Modelling Report, dated June 12, 2009, prepared in accordance with the Procedure Document by Golder Associated Ltd. and submitted in support of the application, and includes any amendments to the ESDM Report listed in Schedule A and all up-dated ESDM Reports prepared as required by the Documentation Requirements conditions of this Certificate.

  • Required Reports Collectively, the Monthly Report, the Servicer’s Certificate required pursuant to Section 6.10(c), the financial statements of the Servicer required pursuant to Section 6.10(d), the annual statements as to compliance required pursuant to Section 6.11, and the annual independent public accountant’s report required pursuant to Section 6.12.

  • Investor Report means a report, in substantially the form attached hereto as Exhibit E or in such other form as is mutually agreed to by the Transferor and each Administrative Agent, furnished by the Collection Agent pursuant to Section 2.11 hereof.

  • Engineering Reports has the meaning assigned such term in Section 2.07(c)(i).
