Directors designated to serve on a Board committee shall have the right to remain on such committee until the next election of Directors (subject to applicable law or listing standards of the Exchange); provided that in respect of the MDP Director, any change in the MDP Ownership Percentage following such designation shall not affect such right.
The MDP Director will deal directly with MOA Partners on all program matters, and will have the responsibility for ensuring the timely, cost- effective completion of the program.
A Technical Advisory Committee, with members appointed by the MDP Director and approved by the Steering Council, will be convened on a regular basis to provide technical advice and feedback on the program.
The nomination of the STLs, and any replacements, from MOA Partners as part of the MDP organization is subject to concurrence by the MDP Director.

An action plan to correct the problem will be proposed, endorsed by the MOA Partner’s senior management above the STL level, and forwarded to the MDP Director.
Technical addenda will be provided by the MDP Director to the Partners and incorporated into this MOA once funding levels have been approved by OHEP.
Lines of authority and responsibility will follow the organization structure established by the Parties hereto and approved by the MDP Director.
