MDK. MDK 2", "Sacrifice", "Messiah", "Wild 9", "R/C Stuntcopter", "VR Baseball `99", and "Test of the Dragon" (collectively, the "NON-MATRIX Games"). "INCLUDED PROPERTY" means Intellectual Property, software, tools, engines, diagrams, models, formulas, data, text, documentation, manuals, programs, artwork, materials (whether pictorial, graphic, visual, audio, audiovisual, animated, digital, literary, dramatic, musical or otherwise), drawings, designs, sketches, images, sounds, illustrations, photographs, printed materials, scripts, storyboards, film and video materials, information (whether electronic, digitized or computerized or otherwise), and all other tangible property, contract rights, other rights and general intangibles.
MDK patents, graphics, code, documentation, licenses, or other programs or intellectual property rights related to the foregoing items (a) through (f) (collectively, the "SHINY ASSETS").

  • These conditions precedent are for the benefit of MDK Sports and may be waived by MDK Sports in its discretion.

  • MDK Sports has not assigned, transferred, conveyed, mortgaged, deeded in trust, or encumbered any interest in the Leases or the leasehold property pursuant thereto.

  • Each Contract is in full force and effect, and there exists no material breach or violation of or default by MDK Sports under any Contract nor by any other party to a Contract, or any event that with notice or the lapse of time, or both, will create a material breach or violation thereof or default under any Contract by MDK Sports or by any other party to a Contract.

  • The execution and delivery of each of the MDK Sports Transfer Documents by MDK Sports and the consummation of the sale of the Assets have been duly authorized by its Board of Directors and by all of the shareholders of MDK Sports.

  • The Contracts constitute all contracts, agreements, licenses, permits and agreements necessary for the conduct of the business of MDK Sports as carried out to the date of this Agreement and as represented to Image Innovations.

  • MDK Sports has delivered a true and complete copy of each of the Leases to Image Innovations.

  • PubCo has the meaning set forth in the Preamble.

  • IPS means Integrated Payment Systems Inc., a Delaware corporation and its successors.

  • SBI means State Bank of India (Client) having its Corporate Centre at Madame Cama Road, Nariman Point, Mumbai- 400 021 and its representative Local Head Offices/Administrative Offices/Regional Business Offices/Branches at various places across India and includes the client’s representatives, successors and assigns.

  • COAH means the Council on Affordable Housing, which is in, but not of, the Department of Community Affairs of the State of New Jersey, that was established under the New Jersey Fair Housing Act (N.J.S.A. 52:27D-301 et seq.).

  • ECO means Engineering Change Orders.
