The MDC Entities shall use all reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, and to assist and cooperate with TeleSpectrum in doing, all things necessary, proper or advisable to consummate and make effective, on the most expeditious manner practical, the transactions contemplated by this Agreement.
The parties desire by their execution of this Agreement to evidence their understanding, as more fully set forth in Article II, with respect to certain noncompetition obligations on the part of the MDC Entities (as defined herein).
