Each certificate representing a Share will bear a legend to the following effect unless MCOA determines otherwise in compliance with applicable law: “THE SHARES REPRESENTED BY THIS CERTIFICATE HAVE NOT BEEN REGISTERED UNDER THE UNITED STATES SECURITIES ACT OF 1933, AS AMENDED (THE “SECURITIES ACT”), OR THE SECURITIES LAWS OF ANY STATE OR OTHER JURISDICTION.
MCOA acknowledges that an investment in the Shares is speculative and involves a high degree of risk.
MCOA has the requisite corporate power and authority to own or lease all of its properties and assets and to carry on its business as it is now being conducted, and is duly licensed or qualified to do business in each jurisdiction in which the nature of the business conducted by it or the character or location of the properties and assets owned or leased by it makes such licensing or qualification necessary.
The transactions contemplated by this Agreement, including without limitation the issuance of the Shares and the compliance with the terms of this Agreement, have been unanimously adopted, approved and declared advisable unanimously by the Board of Directors of MCOA.
Any inquiries concerning any debt listed for collections, including attempts to make payment, shall be referred at the earliest possible time to MCOA.
MCOA is acquiring the Exchange Shares for its own account and not with a view to the distribution thereof in violation of the Securities Act of 1933, as amended, and the rules and regulations of the Securities and Exchange Commission (the “SEC”) promulgated thereunder (the “Securities Act”).
MCOA is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Utah.
The execution, delivery and performance of this Agreement has been duly authorized by all necessary action on the part of MCOA, and this Agreement is a valid and binding obligation of MCOA, enforceable against it in accordance with their terms.
MCOA will deposit any money collected in THE MUNICIPALITY’S separate bank trust account established for that purpose.
While the grant does not anticipate any funds being directly shared with the Municipal Partner, the MCOA is providing a complimentary membership to the City of ▇▇▇▇▇▇▇▇▇ for the duration of the project, commencing November 1, 2020, and ending October 31, 2021.
