MCD Employees means, as of any date, the individuals employed by Hxxxxx or any of its Subsidiaries as of such date that are (i) primarily engaged in the MCD Business or (ii) listed on Schedule I as the same may be amended after the date of this Agreement as agreed by Harris and Stratex.
