In the event that, during any taxable year, the Partnership dissolves and is liquidated pursuant to ARTICLE 11, (i) MBK USA CV shall be specially allocated items of Partnership income and gain in amounts equal to $27,733,548 and (ii) PAG shall be specially allocated items of Partnership income and gain in amounts equal to $16,766,452.
