Maximum Milestone Payment Amount definition
Maximum Milestone Payment Amount shall have the meaning set forth in Section 2.8(a)(ii).
Maximum Milestone Payment Amount means the amount set in column (J) of Table A1.

Purchaser shall pay to Seller by wire transfer of immediately available funds no later than five (5) Business Days after the consummation of any such Sale Transaction an amount equal to the lesser of (x) [***] of the Sale Profit and (y) the remaining Maximum Milestone Payment Amount (the “Partial Acceleration Milestone Payment”).
