Maxima definition

Maxima means Maxima Training Group (AUST) Limited ABN 90 212 392 953, its officers, servants, agents and sub- contractors;
Maxima has the meaning specified therefor in the preamble hereto.
Maxima or the “Vendor” means Ressources Maxima Inc., the vendor under the Asset Purchase Agreement and an arm’s length party to the Company.

Maxima means Maxima Group, LLC, a Delaware limited liability company. "Nasdaq" means The Nasdaq Stock Market's National Market. "Option Plans" means the Company's stock option and incentive compensation plans set forth on Schedule 2.4(b). "Original Number" means the number of Conversion Shares as of the Closing (assuming that all conditions precedent to receipt of Conversion Shares has occurred, including, without limitation, exercise of the conversion rights set forth in the Preferred Stock and, in the case of the Class B Conversion, receipt by the Company of the Shareholder Approval), which number shall be adjusted in accordance with any adjustment made to the number of Conversion Shares issuable upon conversion of the Preferred Stock pursuant to the provisions thereof. For the purposes of determining the percentage of the Original Number of Conversion Shares that is Beneficially Owned by the Investor or any its Affiliates, such calculation shall be made assuming all conditions precedent to receipt of Conversion Shares have occurred including, without limitation, exercise of the Preferred Stock and, in the case of the Class B Preferred Stock, receipt by the Company of the Shareholder Approval. "Person" means any individual, corporation, company, association, partnership, joint venture, trust or unincorporated organization, or Governmental Entity.
