Mattel means Mattel, Inc., a corporation governed by the laws of the State of Delaware, and any successor thereto, and "Mattel Common Shares" means the shares of common stock in the capital of Mattel (together with the accompanying rights, if any, to purchase shares of Series E Junior Participating Preference Stock, par value U.S. $0.01 per share, in the capital of Mattel, subject to adjustment as contemplated by such rights) and any other securities into which such shares may be changed or converted."

• Except as otherwise provided herein, amounts which are vested benefits or which the Executive is otherwise entitled to receive under any plan or program of Mattel at or subsequent to the Date of Termination shall be payable in accordance with such plan or program.

• Mattel has adopted the 2005 Equity Compensation Plan (the “Plan”) for the granting to selected service providers of awards based upon shares of Common Stock of Mattel.

• The Units shall not be transferable by the Holder, other than upon the death of the Holder in accordance with such beneficiary designation procedures or other procedures as Mattel may prescribe from time to time.

• Any increase in the Base Salary shall not serve to limit or reduce any other obligation of Mattel hereunder and, after any such increase, the Base Salary shall not be reduced.
