Material Supply Contract definition

Material Supply Contract means any of the top twenty (20) supply contracts of the Target Companies taken as a whole and measured by cost incurred in the financial year 2006/2007 as listed in the Disclosure Letter; Loan means the loan agreed on 16 October 2007 between and the Company in an amount of EUR 900,000 (nine hundred thousand Euros) and paid to the Company on 22 October 2007. The Loan is non-interest bearing and repayable within nine (9) months of disbursement;

  • The Borrower will not, and will not permit any of its Subsidiaries enter into any Material Supply Contract or Additional Supply Contract (other than the Initial Supply Contracts) which authorizes the Supply Contract Counterparty to set off any claim against the Borrower or any of its Subsidiaries under any other agreement by withholding payment for any platinum, palladium or other minerals actually delivered without the prior written consent from the Administrative Agent (in consultation with the Lenders).

  • For convenience of specific implementation, the Owner and the Contractor(s) will, on the basis of such General Contract, sign the following individual Definitive Contracts: • Engineering Contract • Equipment & Material Supply Contract • Mining Development Contract • Construction and Installation Contract The above Definitive Contracts, once signed, shall be construed as integral and inseparable parts of this Contract.

  • The Borrower is in material compliance with the terms and provisions of each Material Supply Contract and Additional Supply Contract.

  • The Borrower shall use its reasonable best efforts to provide the Administrative Agent with Supply Contract Counterparty Notices duly executed by each Material Supply Contract Counterparty as soon as practicable following the Closing Date to the extent such executed Supply Contract Counterparty Notices were not delivered to the Administrative Agent on or prior to the Closing Date.
